These Terms & Conditions (“Terms”) govern your access to and use of the Kiteways Design desktop application and related services (the “Service”) provided by Kiteways Solutions Private Limited (“Kiteways”, “we”, “us”), a Private Limited Company incorporated in India on 9 June 2020 under the Companies Act, 2013 (CIN U36994TG2020PTC140712; GSTIN 36AAICK1085A1ZU) with its registered office at Plot No. 399, Flat No. 201, Road No. 21, S.A. Society, Khanamet, Madhapur, Hyderabad, Ranga Reddy, Telangana 500081, India. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you agree on its behalf.
1. The Service and licence to use
Kiteways is a desktop design canvas in which AI agents author interfaces on your design system and you review and approve them. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to install and use the Service for your internal business or personal purposes.
2. Your account
Accounts are created and secured through our identity provider, Clerk. You are responsible for keeping your credentials confidential and for all activity under your account. You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Service.
3. Your content and ownership
You retain all rights to the design systems, files, and content you create in the Service (“Your Content”). You grant us a limited licence to host, process, and display Your Content solely to operate and improve the Service. We claim no ownership of Your Content and do not use it to train third-party models.
4. Acceptable use
You agree not to misuse the Service, including by attempting to breach security, reverse-engineer the Service, infringe others’ rights, upload unlawful content, or use the Service to build anything that violates applicable law. We may suspend accounts that violate this section.
5. Plans, billing, and renewal
Paid plans are billed in advance through our payment providers, Stripe (worldwide) and Razorpay (India, including UPI AutoPay). Subscriptions renew automatically for the same period until cancelled. Fees are stated exclusive of taxes, which we add where required. Refunds are governed by our Refund Policy.
6. Early access
While the Service is in early access, features may change, break, or be removed, and plans and limits may be adjusted before general availability. We will give reasonable notice of changes that materially affect paid plans.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by Kiteways and protected by law. Except for the rights expressly granted here, these Terms transfer no ownership in the Service to you.
8. Third-party services
The Service integrates third-party providers, including Clerk, Stripe, and Razorpay. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, Kiteways will not be liable for any indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill. Our total liability arising out of the Service will not exceed the amounts you paid us in the twelve months before the claim.
11. Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends, and we will make Your Content available for export for a reasonable period unless prohibited by law.
12. Governing law and disputes
These Terms are governed by the laws of India and, specifically, the State of Telangana, without regard to conflict-of-laws rules. The courts at Hyderabad, Telangana will have exclusive jurisdiction, except where mandatory local consumer law grants you rights in your place of residence.
13. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and notify you through the Service. Continued use after changes take effect means you accept the revised Terms.
